1. Agreement to Terms

By accessing or using PerkProof ("the Service"), operated by Gator Engineered Technologies, L.L.C. (dba Perk Proof), you agree to these Terms of Service. If you do not agree, you must stop using the platform immediately.

2. Description of Service

PerkProof provides a comprehensive digital loyalty platform for businesses and their customers, including:

• QR code-based loyalty programs and reward tracking
• Member registration and account management
• Merchant dashboards for customer engagement
• Points earning and redemption systems
• Tiered membership programs (Base, VIP, Super, etc.)
• Optional cryptocurrency wallet integration for USDC payouts
• Email communication tools for merchant announcements
• Analytics and reporting features

Features may vary by subscription plan tier.

3. Eligibility

You must be at least 18 years old to use this Service. By using the Service, you confirm that all provided information is accurate and complete.

4. User Accounts

For Members:

• You may create a member account to participate in merchant loyalty programs
• You are responsible for maintaining the confidentiality of your login credentials
• You may connect an optional cryptocurrency wallet for USDC payouts
• Your email address is kept private and never shared directly with merchants

For Merchants:

• You may create a merchant account to manage loyalty programs for your business
• You are responsible for account security, including staff access management
• You agree to use member data only for legitimate business purposes
• You may not export, sell, or share member personal information

5. Member Privacy Protection

We are committed to protecting member personally identifiable information (PII). Merchants can communicate with their members through our platform, but they do not have direct access to member email addresses or other personal contact information. All merchant-to-member communications are facilitated through PerkProof's secure messaging system.

6. Platform Relationship & Brand Disclaimer

PerkProof is a technology platform provider only. We provide software tools that enable merchants to create and manage loyalty programs for their customers. By using this Service, you acknowledge and agree:

• No Affiliation: PerkProof is NOT affiliated with, endorsed by, or a partner of any merchant using our platform. Each merchant operates independently and is solely responsible for their business practices, products, services, and customer relationships.
• No Endorsement: The presence of a merchant on our platform does not constitute an endorsement, recommendation, or guarantee of that merchant's products, services, or business practices by PerkProof.
• Merchant Responsibility: Individual merchants are solely responsible for: (a) the accuracy of their business information; (b) the quality of their products and services; (c) honoring rewards and redemptions; (d) their marketing claims and representations; (e) compliance with applicable laws and regulations; and (f) their customer service and dispute resolution.
• No Liability for Merchant Actions: PerkProof is not responsible for any losses, damages, disputes, or negative experiences arising from your interactions with any merchant, including but not limited to: unfulfilled rewards, poor service, business closures, false advertising, or any other merchant conduct.
• Brand Representation: We are not responsible for how merchants represent their brand, nor for any negative publicity, reputational damage, or public relations issues associated with any merchant's business or brand.

7. Payments & Subscriptions

Paid plans renew automatically unless canceled. Setup fees are non-refundable once onboarding begins. All transactions are processed through secure third-party processors (e.g., Stripe, PayPal).

8. Cryptocurrency & Wallet Features

Members may optionally connect a Polygon-compatible wallet to receive USDC payouts. By using these features:

• You acknowledge the inherent risks of cryptocurrency transactions
• You understand that blockchain transactions are irreversible
• You are solely responsible for the security of your wallet
• We are not liable for losses due to wallet compromise or incorrect addresses

Non-Custodial Wallets:

For users who connect their own external wallets (non-custodial):

• Private Key Responsibility: You are solely responsible for maintaining the security and confidentiality of your wallet private keys, seed phrases, and recovery information.
• No Recovery: PerkProof does NOT have access to your private keys and CANNOT recover lost, stolen, or compromised wallets under any circumstances.
• Irreversible Transactions: All blockchain transactions are final and irreversible. We cannot reverse, cancel, or refund any transaction once it has been broadcast to the network.
• User Verification: You are responsible for verifying all wallet addresses before initiating any transaction.

Custodial Wallet Services (Where Applicable):

For users or merchants utilizing custodial wallet services provided by PerkProof:

• Service Provision: Custodial wallet services are provided "as-is" without guarantee against all forms of loss.
• Security Measures: We employ industry-standard security practices but cannot guarantee absolute security against all threats, including but not limited to hacking, technical failures, or unforeseen vulnerabilities.
• Liability Limitation: Our maximum liability for any loss of custodial assets is limited to the face value of tokens or assets at the time of loss, and in no event shall exceed the total fees paid by the affected user in the preceding 12 months.
• No Insurance: Custodial assets are not insured by any government agency (such as FDIC) or private insurance unless explicitly stated otherwise.

9. Branded Loyalty Tokens

Certain subscription plans allow merchants to create branded loyalty tokens (e.g., "Orlando Cafe Coin", "Tampa Pizza Token"). These tokens are subject to the following terms:

Token Nature and Classification:

• NOT Securities: Branded loyalty tokens are NOT securities, investment contracts, or financial instruments. They are digital loyalty rewards with no expectation of profit.
• NOT Cryptocurrency: Despite utilizing blockchain technology, branded loyalty tokens are NOT intended to function as general-purpose cryptocurrency or digital currency.
• NOT Publicly Traded: Branded loyalty tokens are NOT listed, traded, or available on any cryptocurrency exchange, trading platform, or marketplace including but not limited to: Coinbase, Binance, Robinhood, Kraken, Uniswap, or any other centralized or decentralized exchange.
• Non-Transferable: Unless explicitly enabled by the merchant, branded loyalty tokens cannot be transferred, sold, or traded between users.

Token Value Disclaimer:

• Zero Intrinsic Value: Branded tokens have zero intrinsic value to PerkProof and zero value outside the merchant's program.
• No Valuation Responsibility: PerkProof is NOT responsible for the valuation, perceived value, or market value (if any) of any branded loyalty token.
• Merchant Redemption: Token redemption values and availability are solely determined by the issuing merchant. We do not guarantee that merchants will honor token redemptions.

Token Conversion Risks:

If a merchant enables conversion of branded tokens to USDC or other stablecoins:

• Conversion Rates: Conversion rates are set by merchants and may change without notice.
• USDC Value Fluctuation: PerkProof is NOT responsible for any depreciation, devaluation, or loss of value of USDC or any other stablecoin, including scenarios where USDC loses its peg to the US dollar or becomes worthless.
• Network Fees: Blockchain network fees (gas fees) may apply to conversions and are the user's responsibility.
• Processing Fees: PerkProof may charge processing fees for token conversions as disclosed at the time of transaction.

Brand Token Disclaimer:

• Merchant Brand Ownership: The branded token name, logo, and branding belong to the merchant. PerkProof merely provides the technical infrastructure for token creation and distribution.
• No Brand Association: PerkProof is not associated with, affiliated with, or endorsed by any merchant whose branded tokens are created on our platform.
• No PR Responsibility: PerkProof is NOT responsible for any negative publicity, bad press, reputational damage, or public relations issues related to any merchant's branded token or business.
• Token Discontinuation: Merchants may discontinue their branded token program at any time. PerkProof is not responsible for any losses resulting from token program termination.

10. Prohibited Activities

• Fraudulent manipulation of QR codes or reward systems
• Creating fake accounts or impersonating others
• Attempting to bypass payment or security systems
• Unauthorized access to other users' accounts or data
• Using the platform for illegal activities
• Reverse engineering or copying platform features
• Spamming or harassing members through the messaging system
• Attempting to list, trade, or exchange branded loyalty tokens on external platforms
• Misrepresenting the nature or value of branded loyalty tokens

11. Intellectual Property

All content, branding, software, and platform features belong to Get On Blockchain LLC. You may not copy, resell, or redistribute the Service without written permission. Merchant branded tokens utilize our technical infrastructure but merchant branding remains the property of the respective merchant.

12. Liability Disclaimer

The Service is provided "as is." We make no guarantees regarding uptime, reward accuracy, blockchain network stability, or third-party integrations. We are not liable for losses or damages arising from platform use, including but not limited to:

• Cryptocurrency or stablecoin value fluctuations
• Wallet-related issues or losses
• Branded token value or redemption issues
• Merchant business closures or program terminations
• Network congestion or failed transactions
• Third-party service outages or failures

13. Termination

We reserve the right to suspend or terminate accounts that violate these Terms. Upon termination, you may request deletion of your personal data in accordance with our Privacy Policy. Branded tokens associated with terminated accounts may become inaccessible or worthless.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

15. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the revised Terms. Material changes will be communicated via email or platform notification.
